Welcome to AptiumIQ Inc. (“AptiumIQ,” “Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our websites, and any associated products or services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services. 

1. Eligibility 

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use our Services. By using the Services, you represent and warrant that you meet this requirement and, if accessing on behalf of an organization, that you have authority to bind that organization to these Terms. 

2. Use of Services 

You agree to use the Services solely for internal and intended business purposes and in compliance with all applicable laws and regulations. You must not: 
- Attempt to copy, reproduce, reverse engineer, or exploit the AptiumIQ predictive models, dashboards, protocols, content, or assessments. 
- Use the Services to transmit confidential organizational data of others without authorization. 
- Misuse the Services in a way that damages AptiumIQ’s intellectual property, brand, or reputation. 
- Share access credentials outside of your authorized organization without our written approval. 

3. Accounts and Access 

Certain features require account registration. You agree to: 
- Provide accurate and complete information for account creation. 
- Maintain confidentiality of all login credentials. 
- Accept responsibility for authorized and unauthorized use under your account. 
 
We reserve the right to suspend or terminate access in cases of misuse, breach, or security risks. 

4. Intellectual Property 

All intellectual property in the AptiumIQ system are owned by AptiumIQ Inc. or its licensors. Use of the Services does not grant you any ownership rights. Clients may use deliverables for internal purposes only and may not resell, sublicense, or create derivative works without prior written consent. 

5. Payment and Subscriptions 

Access to the Services may require fees as outlined in agreements, proposals, or order forms. You agree to pay all fees in accordance with our pricing and payment terms. Unless otherwise specified in a signed agreement, fees are non-refundable. Failure to pay may result in suspension or termination of access. 

6. Confidentiality and Data 

We recognize the sensitive nature of organizational data shared through AptiumIQ. We will maintain reasonable safeguards to protect client data and will not disclose it to third parties except as required by law or with client consent. Clients are responsible for ensuring that any data uploaded complies with applicable data protection laws. 

7. Third-Party Services 

The Services may integrate with third-party platforms or software (e.g., Microsoft, CredSpark, Power BI). We are not responsible for the practices, availability, or performance of these third-party services. 

8. Disclaimer of Warranties 

The Services are provided on an “AS IS” and “AS AVAILABLE” basis. While AptiumIQ aims to deliver predictive accuracy and actionable insights, we make no guarantees regarding organizational outcomes, financial performance, or risk elimination. We disclaim all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. 

9. Limitation of Liability 

To the fullest extent permitted by law, AptiumIQ Inc. will not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits, arising from use of the Services. Our total liability shall not exceed the fees paid by the client for the Services in the preceding 6 months. 

10. Indemnification 

You agree to indemnify and hold harmless AptiumIQ, its affiliates, employees, and partners against any claims, damages, or expenses arising from your organization’s misuse of the Services or breach of these Terms. 

11. Termination 

We may suspend or terminate access to the Services at any time if you violate these Terms or applicable agreements. Upon termination, your right to use the Services ceases immediately, and you must return or delete all AptiumIQ proprietary materials. 

12. Governing Law 

These Terms are governed by the laws of Canada, where AptiumIQ Inc. is incorporated, without regard to conflict of law principles. Any disputes will be resolved exclusively in the courts of Canada, unless otherwise agreed in writing. 

13. Changes to Terms 

We may revise these Terms periodically. If material changes occur, we will notify you through the platform or by email. Continued use of the Services after such updates constitutes acceptance of the revised Terms.
